Business Profile:

Leisure and Resorts World Corporation (hereinafter referred to as “Company/LRWC” or the “Registrant” was incorporated on October 10, 1957. As part of the corporate restructuring of the Company in 1996, the Company’s primary purpose was amended in 1999 to engage in realty development focusing on leisure business. However, for several years, it had minimal operations and functioned as a holding company.

In October 1999, the Board of Directors of the Company approved the Share Exchange Agreements (Agreements) with the shareholders of AB Leisure Exponent, Inc. (ABLE), operator of a number of bingo parlors, for the acquisition of the entire outstanding capital stock of ABLE in exchange for 750 million new shares of the Company valued at P750 million. By virtue of the Agreements, ABLE became a wholly owned subsidiary of the Company.

On September 19, 2000, the Securities and Exchange Commission (SEC) approved the Company’s increase in authorized capital stock to P2.5 billion. Out of the aforementioned increase which consists of a total 2.5 billion common shares at P 1 par value, a total of 750 million common shares with aggregate par value of P750 million have been subscribed and fully paid for through the assignment in favor of the Company of 500,000 common shares of ABLE representing the entire outstanding capital stock thereof by ABLE shareholders. This subscription and payment in ABLE shares was an implementation of the duly executed Agreements. These shares were principally held in escrow with a local commercial bank. In 2007 and 2008, SEC approved the release of shares totaling 131,237,048 out of the shares held in escrow. As of December 2010, the remaining shares still held in escrow total to 5,942,597.

Results of Operations:

LRWC posted a consolidated net income of P34.3 million for the first quarter of 2011, a P5.7 million or 14.2% decrease from the P40.0 million consolidated net income of the same period last year. The decline is mainly due to higher LRWC operating expenses.

Capital Managers to increase stake in leisure company

THE group of businessman and stockbroker Eusebio Tanco may acquire more shares in listed hotel and leisure firm Leisure and Resorts World Corp. (LRWC), a company it considers a “long-term” investment partly due to potential synergies with its STI education chain.  

Tanco-led Capital Managers and Advisors Inc. entered LRWC in March, when it acquired a 7.33-percent stake for P467.31 million, or P7.50 per share. LRWC was recently tapped as the operating partner for Belle Corp.’s casino complex rising along the Manila Bay Reclamation area, a $750 million project that will include hotel and retail components.

Monico Jacob, president of Capital Managers, said the investment company may acquire more shares in  LRWC should the opportunity present itself. “It depends how much we can get from the market. If possible, we will get shares from there,” Jacob, who is also president of the STI, told reporters in a chance interview.

hi rambiz good to see you here i will give you my elliot pattern but pls keep it amongst ourselves if you know what i mean

it's what they called a weak b flat wc means it will go beyond 9.82 wc is now being manifested, we are only at wave 2 so you have three more waves to go before a reversal 8 is a possibility should wave 1 is the extended wave and wave 3 and 5 are equal , but should this be the shortest wave then 7 to 6 is a possibility caveat

LR Broker info today and jun 15-21, see also today's bid ask table, broker 368 seems to be in a buying spree, just for our reference.
