Quote:What Does Back Door Listing Mean?
A strategy of going public used by a company that fails to meet the criteria for listing on a stock exchange. To get onto the exchange, the company desiring to go public acquires an already listed company.

Investopedia explains Back Door Listing
Believe it or not, purchasing a public company can be a cost-effective way for some firms to go public.

Amateur lang ako kaya di ko masasagot ang tanong mo kung bakit tataas ang price.

Siguro dahil sa speculation na magkakaroon ng bagong capital ang isang kumpanya? O new management?

Currently, backdoor listing is cheaper than going through an Initial Public Offering. The PSE wants to change this. Aside from the PSE getting smaller profits, backdoor listing is prone to price manipulation, speculation and misinformation. You see companies willing to list cheaply at the PSE would target "semi dead", for lack of a better term, companies which often are shell companies. Shell meaning it has no more assets or businesses under its domain. By buying shares of this shell company, and injecting it with assets like real estate or businesses then this stock price would be open for a wild guessing game. Imagine a property developer with lots of projects in the pipeline buying a shell company for only 10 million and it has 1 million outstanding shares. That would put the price of a company at 10 per share. Now if the projects and real estate assets that would be injected by the new owner is valued at 100 million, that would add P100 pesos more per share on the stock. The stock would shoot up from 10 to 110 per share. Still others would value the asset addition at 200 million and so on. Speculation galore!
