Philex Petroleum seeks SEC permit to list on stock market

PHILEX Petroleum Corp., a subsidiary of Pangilinan-led Philex Mining Corp., has applied to corporate regulators for a permit to list by way of introduction on the local bourse.

In a filing with the Securities and Exchange Commission (SEC) dated June 16, the subsidiary of the country’s largest miner said it will list 1.7 billion shares on the Philippine Stock Exchange.

Philex Petroleum also applied for the “distribution of 604.03 million common shares as property dividend.”

Listing by introduction allows firms to have their shares traded in the stock exchange without having to immediately conduct an initial public offering.

“As of the date of this prospectus, the issuer has an authorized capital stock of 6.8 billion shares, each with a par value of P1, and its issued share capital consists of 1.7 billion shares,” Philex Petroleum said.

The second board requires companies to have a market capitalization of at least P250 million, an authorized capital stock of P100 million and P25 million in subscribed capital.

The timeline for the listing and the indicative price of the shares have yet to be determined.

Last month, Philex Mining said its board of directors approved the declaration of a dividend composed of one share in subsidiary Philex Petroleum for every eight Philex Mining shares, and cash worth P0.052 for each Philex Mining share.

Philex Petroleum holds the petroleum and energy assets of Philex Mining. It controls Forum Energy Plc, a UK company with 70% interest in Service Contract 72, which covers the Sampaguita natural gas discovery.

“That is a good move considering that second half is the best time to sell shares when the market is more liquid,” Astro C. del Castillo, managing director of brokerage firm First Grade Holdings, Inc., said in a telephone interview yesterday.

In the meantime, Philex Petroleum will likely feel the appetite of the market for a share sale, he added.

Shares in Philex Mining closed eight centavos lower at P19.12 each yesterday.

Hong Kong’s First Pacific Co., Ltd., the single largest shareholder in Philex Mining, partly owns Philippine Long Distance Telephone Co. (PLDT). Mediaquest Holdings, Inc., a unit of the PLDT Beneficial Trust Fund, has a minority stake in BusinessWorld. -- Neil Jerome C. Morales
