The Philippine Stock Exchange (PSE) may implement a new policy preventing firms with a relatively small market capitalization to sell secondary shares during an initial public offering (IPO), bourse president Hans Sicat said on Thursday.

The policy shift comes after the PSE requested Calata Corp. to remove the secondary component of its upcoming IPO, which the company did, as a condition before approving its listing on the second board of the exchange on May 23.

Typically, money raised from secondary shares go directly to their owners and are not subject to the same level of scrutiny as primary shares, where proceeds go back to the company and their use should be clearly outlined in the offer prospectus.

“Second board rules say you can do both primary and secondary offers but we are studying that,” Sicat told reporters following a breakfast roundtable hosted by Institute of Corporate Directors.

“We are thinking that with junior or small board companies, the view is if you need the stock market to grow it should be through primary equity,” he said.

The move would come as an added safeguard to the so-called lock-up period for IPOs or follow-on offerings. The lock-up rule effectively prevents company owners or major stockholders from selling their shares until 180 days after going public.

Sicat said the PSE wasn’t singling out firms like Calata, which is said to have both a good track record and prospects because of its defensive position in the country’s fast-growing agribusiness sector. But the bourse has had little cause to revisit this specific provision given that recent small-cap IPOs didn’t contain secondary share components.

The last four second board IPOs from 2009, namely, Ripple E-Business, IP Converge Data Center Inc., Touch Solutions Inc., and Calapan Ventures Inc. only sold primary shares during their public offerings, data compiled by BusinessMirror showed.

Calata, the Philippines’ third IPO this year, will begin selling 36.01 million primary shares from May 10 until May 16. The shares were indicatively priced at up to P7.50 each although a final price should emerge by May 4, the company said last week.

Calata was originally planning to sell another 36.01 million secondary shares, based on its filing with the Securities and Exchange Commission.
